Oozle Media wants to build your website the right way! Our goal is always to create a long term
partnership with our clients. For you to have a good experience, expectations and responsibilities
need to be set up correctly from the beginning, to avoid issues that many experience in building new
websites. For this reason, over the last couple of years we have developed a unique system to create a
better website development experience for the clients we work with.
Building websites the way they should be built involves a time commitment and effort from the
client. To help manage this effort, we break your website project down into 5 Phases with goals,
responsibilities and due dates for both Oozle Media and you, the client. Below are the phases of the
website development process with very brief descriptions of each.
1. Welcome Meeting & Creative Brief:
The website process should be very similar to the process
of building a new home. We need to know what you need, what you like, what you don’t like,
examples of other websites you like, etc. The more info you can get us regarding your
preferences the better. The creative brief will require a few hours of your time to fill out
properly but we promise you this effort will pay off big in the end and ensure a great experience
between your company and Oozle Media!
2. Sitemap & Wireframe:
Sitemap
Upon receiving the creative brief back, we can then develop a plan to
determine which pages you need for your website. The Sitemap is basically an outline of all the
pages on your site and how they’ll link to each other. In the home building analogy, how many
rooms do you need in your house and what kinds of rooms are they?
Wireframing
Proven Theme: Wireframing a proven theme is different than wireframing for a custom site. If you have chosen a Proven theme the layout is predetermined, and the wireframing happens within the predetermined layout (banners, tile ads etc.)
Custom: With a custom design you’ll have the freedom of laying out the site however you want.
3. Design & Content:
Whether you have chosen to have us develop a custom design or have
chosen from many of our proven industry layouts, your website will stand out and outperform
the competition. A custom design is like building a custom home. It would be very unlikely to
find a home just like yours. Choosing a preexisting layout would be like choosing a home model
from a builder out of a selection of models. Colors, features & finishes will differ but the core
structure and design of the home will be similar to others who chose the same model. Our
designers will skillfully blend your branding, fonts and colors into your new website’s design.
While we create a design, we assess your current content and compare them with the content
needs for the new site. We then come up with a plan to either help you fill the holes or trim the
fat in your current content, whichever is necessary.
4. Development:
Once we know what the website needs to do and how it needs to look, our team
of experienced in house developers builds your site from scratch using WordPress. WordPress
provides ease of use for the client and visitors while still being technically adequate for the
marketing needs of almost all of our clients.
5. Launch:
Once everything is programmed and looking good, and after the final approval, our
developers set the website live using the domain and hosting of your choice.
Websites are a team effort where both Oozle and you, the client, are on the hook to
do their part to accomplish the task. Because of this co-dependence, we set due dates for ourselves as
well as you, the client. Due dates are set at the beginning of each phase only when the previous phase is
completed. We promise to hit our due dates, and we expect the same from you.
Our team works on several projects at once and can get booked out quickly. To
avoid overbooking that causes delays, we schedule each task as a block of uninterrupted time for the
responsible employee. So, if the next phase in your project will take 2 days to complete, our scheduling
and due dates will be determined by the next available 2 day time slot to complete that task. This
means it is crucial that you get approvals and feedback to us as soon as possible so that your project
doesn’t get leapfrogged by other client projects.
The Client Portal:
To avoid long email chains and confusion of who is doing what and when, we have
developed a client portal that keeps everything straight. Whoever in your company has the ultimate
decision making power for the project will be given a login where they can approve critical pieces of
the project, leave feedback or get a snapshot of where the project is in the process. This helps our clients have a
better understanding of what is going on in their project and more accurate timeframes for completion. The client

Warranty
Warranty (included in price) is that for everything included in the scope of work which is determined in the
planning process, will be under warranty for 1 year from the completion of the project. Additional warranties
and maintenance are available as time goes on at an additional cost. The warranty however, does not cover
derivative works not created under this contract. The warranty does not include tampering with previously
functional code, i.e. if the client gives access to someone who changes the source code and the functionality
changes, Oozle Media would revert to the previously functional source code, or would need to be hired to
repair the code of an outside developer from this RFP, for an additional cost not included here.
License & Agreement
To the benefit of all Oozle Media clients this agreement does not constitute a work for hire where copyright
would be granted to one client. If a work for hire is desired it can be negotiated at a much higher price, as there
will be no source code to build the project upon, which is not what this proposal is based upon.
Under this agreement Oozle Media Inc. maintains authorship and all copyrights to any works created
through this service contract, including but not limited to, source code, databases, and documents. However,
client holds all copyrights to their products, design, text, marketing materials, and images added to the site.
Under this agreement client also maintains the right to modify, update, and change source code in
perpetuity. However, the client is not licensed to sell, share, and/or redistribute the original source code,
or use the code for any website other than the one for which it was developed as part of this agreement,
nevertheless the client can transfer this one license with its source code to a different entity with no fees
or royalties. Any signers on this contract would be affirming that they are an authorized signatory allowing
them to enter into a legally binding agreement for the company or organization, and to personally guarantee
payment if that is not the case.
Late Payments & Billing
All invoices are due upon receipt unless otherwise noted in the Cost/Terms set forth in this contract. A 1
½% percent monthly service charge is payable on all overdue balances beginning 30 days after the date of
the overdue invoice. The grant of any license or right of copyright is conditioned on receipt of full payment.
In the event that Client fails to pay as agreed, whether for creative work or Web hosting, Client Web site(s)
will be suspended until payment is received. It is Clients responsibility to notify Oozle Media of any changes
to billing information and/or credit card information used to pay for Web hosting to ensure uninterrupted
hosting.
Assignment of Project
In order to provide fresh and innovative solutions which are best suited to the unique needs of our Clients,
Oozle Media may utilize independent contractors to facilitate the completion of any portion of our projects.
Contract Validity
This contract is valid if signed within 30 days of its preparation date.
Warranty of Originality
Oozle Media warrants and represents that, to the best of its knowledge , the work assigned hereunder is
original and has not been previously published, or that consent to use has been obtained on an unlimited
basis; that all work or portions thereof obtained through the undersigned form third parties is original or,
if previously published, that consent to use has been obtained on an unlimited basis; that Oozle Media has
full authority to make this agreement; and that the work prepared by Oozle Media does not contain any
scandalous, libelous, or unlawful matter. This warranty does not extend to any uses that the Client or others
may make of the Oozle Media product which may infringe on the rights of others. Client expressly agrees that
it will hold Oozle Media harmless for all liability caused by the client’s use of Oozle Media’s products to the
extent that such use infringes on the rights of others.
Limitation of Liability
Client agrees that it shall not hold Oozle Media or its agents or employees liable for any incidental or
consequential damages which arise from Oozle Media’s failure to perform any aspect of the Project in a timely
manner, regardless of whether such failure was caused by intentional or negligent acts or omissions of Oozle
Media or a third party. Furthermore, Oozle Media disclaims all implied warranties, including the warranty of
merchantability and fitness for a particular use.
Dispute Resolution
Any dispute in excess of $10,500 (maximum limit for small claims court) arising out of this Agreement shall
be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed upon arbitrator
pursuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and
judgment may be entered in any court having jurisdiction thereof. The Client shall pay all arbitration and
court costs, reasonable attorney’s fees, and legal interest on any award of judgment in favor of Oozle Media.
Hosting & Internet Service
The Client shall be responsible for Web hosting and Internet services unless otherwise specified in this
contract. Client agrees to notify Oozle Media of any changes in hosting 10 business days before hosting
changes are made, and give Oozle Media full access to Site files and associated login usernames and
passwords in order that Oozle Media may maintain the Site efficiently and effectively, as well as maintain the
integrity of backup files.
Ownership & Copyrights
Oozle Media grants full ownership of company logos and final design products to Client upon final payment.
All materials used in the production of this assignment, including computer generated instructions and
formats, ideas which are not accepted, and photography, remain the property of Oozle Media or their
respective creators and may be used in the future in the course of other assignments.
Default in Payment
The client shall assume responsibility for all collection of legal fees necessitated by default in payment.
Cancellation
In the event of cancellation of this assignment, ownership of all copyrights and any original artwork shall be
retained by Oozle Media, and a cancellation fee for work completed , based on the prorated portion of the
next payment and expenses already incurred, shall be paid by the Client. Client shall retain all previously
owned artwork.
Termination
Oozle Media may terminate this contract upon the Client’s failure to cure any breach of any term of this
contract within fourteen days notice of such breach for Oozle Media. Failure to make payments when due
shall be considered a breach of this contract.
